The Standard Bank Of South Africa Limited: Notification Of An Update To The Issuer’s Zar 110,000,000,000 Domestic Medium Term Note Programme - InsidEntity
Noteholders are advised that SBSA has updated the following documents:
The programme memorandum dated 8 December 2022 (the “Programme Memorandum”) relating to its ZAR110,000,000,000 Domestic Medium Term Note Programme (the “Programme”); and
the Issuer Disclosure Schedule dated 8 December 2022 relating to The Standard Bank of South Africa Limited, which is incorporated by reference in the Programme Memorandum; and
the Risk Factors and Other Disclosures Schedule dated 8 December 2022 relating to the Programme, which is incorporated by reference in the Programme Memorandum.
A summary of the key changes made to the Programme Memorandum are as follows:
Updates to the section of the Programme Memorandum headed “Summary of the Programme” to:
update the list of Participants;
incorporate Recognition of RSA Bail-in Powers provisions under the Financial Sector Laws Amendment Act 23 of 2021;
clarify and remove certain definitions;
amendments to the section of the Programme Memorandum headed “Terms
And Conditions of the Notes” to:
Incorporate, clarify or remove certain definitions as per the Debt and Specialist Securities Listings Requirements and the introduction of RSA Bail-in Powers under Condition 1 (Interpretation);
Incorporate power disruptions, pandemics and other health crises in Condition 10.5 (Method of Payment);
incorporate Condition 23 (Recognition of RSA Bail-in Powers);
correct errors of a typographical nature;
updates in various places in the Programme Memorandum to replace references to the “JSE” with references to any “Financial Exchange” to allow listing on various Financial Exchanges;
updates in various places in the Programme Memorandum to incorporate the Recognition of RSA Bail-in Powers;
updates in various places in the Programme Memorandum to remove references to the JSE Debt Guarantee Fund Trust and the JSE Guarantee Fund;
The amendments to the Programme Memorandum have been approved by the JSE. The updated programme memorandum, the updated Issuer Disclosure Schedule and the updated Risk Factors and Other Disclosures Schedule, each dated 19 December 2024, are available for inspection on Standard Bank Group Limited’s corporate website: https://reporting.standardbank.com/debt-investors/debt-securities/debt-securities/.
