| Under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we would like to inform you that the Board of Directors of the Company, today, under recommendation of the Nomination & Remuneration Committee of the Company, have approved appointment of Mr. Chander Prakash Gurnani (DIN 00018234), as Non-Executive Independent Director of the Company for a term of five years, with effect from October 15, 2024, subject to the approval of the shareholders of the Company. |
| Further, we confirm the basis declarations received that Mr Gurnani meets the criteria of independence laid down in Section 149 of the Companies Act, 2013 and SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 and that he is not debarred or disqualified from holding the office of a Director by any order from SEBI/MCA or any such statutory authority. Mr Chander Prakash Gurnani does not hold any shares in the Company. Further, as affirmed by him, he is not disqualified from holding the office of a Director under the provisions of Section 164 of the Companies Act, 2013. |
