Netcare Limited: Intra-Group Share Repurchase

In compliance with paragraph 3.99 of the Listings Requirements of the JSE Limited (“JSE”), shareholders are advised that the Company has concluded an intra-group repurchase with Netcare Hospital Group Pty Limited (“NHG”), a wholly owned subsidiary of Netcare, on 25 March 2025 (the “Intra-group Repurchase”).

In terms of the Intra-group Repurchase, Netcare has acquired 24,642,572 ordinary shares (the “Repurchased Shares”) from NHG for R12.96 per ordinary share.

The Repurchased Shares have reverted to authorised but unissued ordinary share capital of Netcare by section 35(5) of the Companies Act, 71 of 2008, as amended. An application will be made to the JSE for the delisting of the Repurchased Shares.

After the Intra-group Repurchase, the balance of treasury shares amounts to 138,087,153 ordinary shares.
