Metair Investments Limited: Notification In Terms Of Section 45(5) Of The Companies Act

Notice is hereby given that, under the authority granted to the Board of Directors of the Company (“Board”) at the annual general meeting of the Company held on Tuesday, May 7 2024, the Board has adopted several resolutions to provide financial assistance to related or inter-related companies of Metair (“Financial Assistance”), as contemplated in section 45(2) of the Companies Act, No. 71 of 2008 (“Companies Act”).

The Board confirmed, as contemplated in section 45 of the Companies Act, that, after considering the reasonably foreseeable financial circumstances of the Company, it was (i) satisfied that, immediately after providing such Financial Assistance, the Company would satisfy the solvency and liquidity test, as contemplated in section 4 of the Companies Act, and (ii) that the terms under which such assistance was proposed to be given were fair and reasonable to the Company.
