Mantengu Mining Limited: Declaration Announcement Relating to a Proposed Change of Name and Distribution of Annexure a in Support of Special Resolution Number 5 Contained in the Notice of Annual General Meeting

1. Introduction 
Shareholders are advised that, subject to receipt of the requisite Shareholder approval, the board of directors of MTU proposes to change the Company’s name from “Mantengu Mining Limited” to “Mantengu Limited” (the “Change of Name”). 
2. Rationale for the Change of Name 
In late 2024, the Company investigated the procedure for a change of its name to Mantengu Limited. Accordingly, the company secretary was instructed to reserve the new name at the Companies and Intellectual Property Commission (“CIPC”) so that it would not be lost whilst the Company undertook the approval process. 
The Company wishes to drop the word “Mining” from its name because it is misleading to the market in that it does not accurately reflect the current investments held by the Company, nor its prospective investment philosophy. Whilst the asset that resulted in the Company being re-admitted to trading was a mining asset (Langpan) and it has made two other mining investments (Meerust and Blue Ridge) it has also acquired a silicon carbide manufacturing plant (Sublime Technologies) and has acquired all the assets for an iron beneficiation plant (assets acquired from Masorini Iron Beneficiation). Whilst mining has been the foundation and core of the Company’s business, it will continue to explore non-mining opportunities that fit its investment philosophy and risk appetite, including base load power generation. This is in line with the Company’s publications over the recent past that it is a resource investment company which is focused on unlocking new value in the mining, mining services and energy sectors. 
In December 2024, the Company received an update by way of a letter from CIPC advising that the COR15.2 had been accepted and placed on file, amending its Memorandum of Incorporation (“MoI”) to give effect to the name change. 
3. Details of the Change of Name 
The JSE Limited (the “JSE”) has, subject to the requisite Shareholder approval being obtained for the name change and consequent amendment of the MoI, approved the Change of Name. The JSE long name will change to “Mantengu Limited”. The short name “MTU”, the JSE share code and ISIN will remain unchanged. 
The Company will retain its history and will remain listed in the Industrial Engineering Sector on the Alternative Exchange of the JSE. 
4. Distribution of Annexure A 
Annexure A sets out details of the Change of Name and will be distributed to Shareholders on or about Monday, 14 July 2025 (“Annexure A”). Annexure A is available on MTU’s website at the following link: https://www.mantengu.com/investor-relations 
Copies of Annexure A may also be obtained by Shareholders at the Company’s registered office, being at 5 St Michaels Lane, Bryanston, Sandton, South Africa, 2080, during normal business hours from Monday, 14 July 2025 until Thursday, 21 August 2025 (both days inclusive. 
5. Annual General Meeting 
Shareholders are reminded of the virtual annual general meeting of Shareholders to be held entirely by electronic communication on Thursday, 21 August 2025 at 14h00 (South African Standard Time), to consider, and if deemed fit, passing with or without modification, the resolutions required to approve the proposed Change of Name and consequential amendments to the Memorandum of Incorporation (‘MoI’).
