In order to reduce rentals, Dis-chem has decided that instead of moving to a new premises, the Group will acquire the warehouse based in Midrand through an acquisition of Columbia Falls Properties 7 (Pty) Ltd ("CFP"). Before the acquisition, Dis-Chem was paying R55m a year in rent (c. R4.6m monthly).
CFP is owned by The Adventures Trust, which is primarily controlled by the Saltzman's, the founders of Dis-Chem, owning 78% of the trust through their company Ivlyn (Pty) Ltd. Ultimately, the warehouse is being purchased from the owners of Dischem.
The two founders of Dis-Chem and other directors/prescribed officers at the group, have sold its head office and Midrand distribution centre to the group in a transaction valued at nearly R500m. This comes months after Dischem acquired 3 other distribution centres in Cape Town, KwaZulu-Natal and Mpumalanga in Mar-24
The Competition Tribunal approved the acquisition by Dis-Chem Pharmacies’ of CFP. The transaction involves Dis-Chem Distribution, a subsidiary of Dis-Chem Pharmacies, taking full ownership of CFP and therefore full ownership of the property in Midrand.
Dis-Chem is making strategic moves into other sectors and in June, acquired a 50% stake in financial services company OneSpark for nearly R156m as part of its strategy to expand beyond pharmaceuticals
Are the owners trying to exit? This year alone, the Saltzman family have sold more R2.5bn in shares and Ivan Saltzman stepped down as CEO. Ivan Saltzman sold 50m in Dis-Chem for about R1.42bn while his son, Saul Satzman, sold 3m shares for R87.9m. Both are still on the board as executive directors.
Coronation Asset Management has since become the largest shareholder in Dis-Chem!
